Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Melioratrix LLC (“Melioratrix,” “we,” “us,” or “our”) governing your access to and use of the ProtectInk desktop application (the “App”), the protectink.app website (the “Site”), and related services (together, the “Services”). By downloading, installing, purchasing, activating, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. License grant

Subject to these Terms and your payment of applicable fees, Melioratrix grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on the number of devices permitted by your plan, for your internal business or personal purposes. License keys are validated and bound to your device(s) through activation.

3. License restrictions

You agree not to, and not to permit others to:

• copy, redistribute, resell, sublicense, rent, lease, or share the App or your license keys;
• reverse engineer, decompile, or disassemble the App, or attempt to derive its source code or the underlying model weights, except to the extent this restriction is prohibited by applicable law;
• circumvent, disable, or interfere with license activation, validation, security, or usage limits;
• remove or alter any proprietary notices; or
• use the Services in violation of any law or the rights of any third party.

4. Ownership

The Services — including the App, the bundled model, the Site, and all related software, content, and intellectual property — are owned by Melioratrix and its licensors and are protected by intellectual property laws. The App and model are licensed, not sold. Except for the limited license granted above, we reserve all rights.

5. Purchases, billing, and taxes

Licenses are sold and fulfilled through our authorized reseller and Merchant of Record, Lemon Squeezy. By purchasing, you also agree to Lemon Squeezy’s applicable terms. Prices are shown at checkout and may include applicable taxes. You are responsible for providing accurate billing information.

6. Refunds

Refunds are governed by our Refund Policy, which provides a 14-day money-back guarantee as described there.

7. Local processing and your responsibilities

The App is designed to process documents locally on your device. You are solely responsible for your documents and data, including maintaining backups, and for ensuring you have the right to process any documents you use with the App. You are responsible for maintaining the security of your device and license credentials.

8. Output accuracy; no professional reliance

ProtectInk performs automated handwriting and document extraction, which is inherently imperfect and may contain errors or omissions. Output is provided to assist you and must be reviewed and verified by you before use. The Services are not a substitute for professional judgment and must not be solely relied upon for medical, legal, financial, or other critical decisions.

9. Updates

We may provide updates to the App and model files, which may be downloaded and installed automatically to maintain quality, security, and compatibility. These Terms apply to all updates unless accompanied by separate terms.

10. Third-party services

The Services rely on third parties, including Lemon Squeezy (payments) and Cloudflare (hosting and content delivery). We are not responsible for third-party services, and your use of them may be governed by their own terms.

11. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MELIORATRIX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless Melioratrix from claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Services or your violation of these Terms.

14. Termination

We may suspend or terminate your access or licenses if you breach these Terms or misuse the Services, including by deactivating affected license keys. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Colorado will have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any appropriate jurisdiction. 16. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance.
